Terms & Conditions

These terms set out the basis on which we work together. We have tried to write them plainly.

1. Scope and application

These Terms and Conditions ("Terms") govern the relationship between Lintel House ("we", "us") and any individual or organisation ("you", "the client") that engages our consulting services or uses our website at lintelhod.

By submitting an enquiry, accepting a proposal, or engaging us for any service, you agree to be bound by these Terms. Where a separate written engagement letter or proposal is agreed between us, that document will form part of the overall agreement and, in the event of conflict, take precedence over these Terms in relation to the specific matters it addresses.

We reserve the right to update these Terms from time to time. Any updates will be posted on this page with a revised date.

2. Services and deliverables

We provide HR consulting services in the areas set out in our published service descriptions and any agreed proposal. Our work is carried out with care and professional judgement; however, the scope and nature of each engagement will be defined in writing before substantive work begins.

Deliverables (such as reports, written outlines, or working tables) are produced for the benefit of the named client organisation and are not intended for distribution to third parties without our prior agreement.

Timelines indicated in proposals are working estimates. We will communicate promptly if circumstances affect delivery, and we expect the same of you where client-side input or access is needed.

3. Fees and payment

Fees are as stated in our current service descriptions or in the agreed proposal, denominated in Malaysian Ringgit (MYR). All fees are exclusive of applicable taxes unless stated otherwise.

Invoicing

Invoices will be issued as outlined in the proposal โ€” typically at the start of an engagement or upon delivery of agreed milestones.

Payment terms

Payment is due within fourteen (14) days of the invoice date unless otherwise agreed in writing. We reserve the right to pause work on an engagement where an invoice remains unpaid beyond this period.

Additional work

Work requested beyond the agreed scope will be discussed and agreed separately before it is undertaken. We will not carry out additional work without your knowledge.

Cancellations

If an engagement is cancelled after commencement, a fee proportionate to the work completed at the point of cancellation will be due. We will set out how this is calculated clearly in the original proposal.

4. Confidentiality

Both parties agree to treat as confidential all non-public information shared during the course of an engagement. This includes, but is not limited to, internal policies, staff information, financial data, and strategic plans shared with us to facilitate our work.

We will not share confidential information with third parties without your consent, except where required by law or for the necessary involvement of a direct sub-contractor working under equivalent confidentiality terms.

Confidentiality obligations survive the conclusion of an engagement for a period of three (3) years.

5. Intellectual property

Upon receipt of full payment, you are granted a non-exclusive licence to use deliverables produced under a given engagement for your internal organisational purposes.

Underlying methodologies, frameworks, and general approaches developed by Lintel House remain our intellectual property. These Terms do not transfer ownership of any such materials to the client.

All content on our website โ€” text, structure, and design โ€” belongs to Lintel House and may not be reproduced without written permission.

6. Limitations of liability

We carry out our work with reasonable care and skill. However, our liability to you in connection with any engagement is limited to the total fees paid for that engagement.

We are not liable for indirect, consequential, or incidental losses arising from our work or from decisions made by your organisation in reliance upon it. You retain responsibility for any decisions taken based on our observations or recommendations.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any other matter that cannot be excluded by Malaysian law.

8. Termination

Either party may bring an engagement to a close by providing written notice. Where work is in progress, we will agree a reasonable wind-down period and invoice for work completed to that point.

We reserve the right to terminate an engagement immediately if a client acts in a manner that is abusive, unlawful, or fundamentally inconsistent with the agreed scope of work.

9. Governing law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Where a dispute arises, we would prefer to resolve it through direct conversation in the first instance. We will always make time to hear your concerns.
